Ohio: a light annual calendar, with one trap for border businesses.

Ohio is one of the simpler states to keep an LLC in — no annual report for LLCs at all. The trap is geographic: an Ohio entity that actually works in Pennsylvania owes Pennsylvania a foreign registration, and a Pennsylvania entity working in Ohio owes Ohio the same. This guide covers both directions.

OH-1Form the entity

  1. Search the name on the Ohio Secretary of State's business search; the name must be distinguishable and carry an LLC designator.
  2. Appoint a statutory agent — Ohio's version of the registered agent: an Ohio resident or an entity authorized in Ohio, with an Ohio street address, who accepts service of process. This appointment is part of the formation filing itself.
  3. File Articles of Organization with the Ohio Secretary of State, filing fee $99. The articles are short; the agent's acceptance matters more than the paperwork's length.
  4. Operating agreement and EIN — same pattern as every state: the agreement is private but banks ask for it; the EIN is free from the IRS.

Annual report — LLCNoneOhio LLCs file no annual report. Do not let that lull you: the obligation that replaces it is keeping the statutory agent and address current.
Statutory agent currencyContinuousIf your agent resigns or the address goes stale and you miss an amendment, service of process can happen without your knowledge.
Commercial Activity TaxBy receiptsOhio's CAT applies by gross-receipts thresholds — a tax registration question, not a Secretary-of-State filing.

OH-3The Ohio–Pennsylvania border pattern

Erie, PA sits about an hour from the Ohio line, and plenty of operators work both sides. The rule that decides your filings is where the business transacts: an Ohio LLC with a Pennsylvania office, Pennsylvania employees, or regular Pennsylvania job sites generally must file a foreign registration with the PA Department of State — and then it has two calendars: Ohio's light one, and Pennsylvania's annual report (September 30 for LLCs, $7). Forming in Ohio to dodge the PA report does not work if the work is in PA; it just adds a second register to keep.

Where this route hands off

Working in Pennsylvania? Your PA stretch is run by PA CROP Services — registered office and foreign-registration compliance on the PA side. Ohio-only, or operating in several states? A national registered-agent operator keeps the agent desk in every state at once.
